3. Acceptance of Terms

By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms apply to all clients, visitors, and users of our services.

4. Service Agreements

All services are provided subject to a separate Service Agreement or Statement of Work (SOW) that will detail the specific scope, deliverables, timelines, and pricing for each project. The Service Agreement shall take precedence over these general Terms in case of any conflict.

5. Payment Terms

Payment terms will be specified in your Service Agreement. Generally:

Payment is required as per the agreed schedule in the Service Agreement
All prices are in Nigerian Naira (NGN) unless otherwise specified
Late payments may incur interest charges as specified in the Service Agreement
We reserve the right to suspend services for non-payment

6. Intellectual Property

Unless otherwise specified in the Service Agreement:

All intellectual property rights in custom-developed software and solutions will transfer to the client upon full payment
We retain rights to any pre-existing tools, frameworks, or methodologies used in service delivery
Client grants us permission to use project outcomes for portfolio and marketing purposes (with client approval)

7. Confidentiality

We are committed to maintaining the confidentiality of all client information and project details. We will not disclose any confidential information to third parties without your written consent, except as required by law.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However, we do not guarantee specific business outcomes or results. All services are provided "as is" and we disclaim all warranties, express or implied, except as specifically stated in the Service Agreement.

9. Limitation of Liability

Our liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service in question. We shall not be liable for any indirect, incidental, or consequential damages.

10. Termination

Either party may terminate a Service Agreement with written notice as specified in the agreement. Upon termination, you will be responsible for payment of all services rendered up to the termination date.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of Nigerian courts.
